Terms of sale and use

1. Who we are and how you accept

Zonaris Audio makes and licenses the plugins, from Colombia. These terms are the licence agreement between you and Zonaris Audio for all its plugins and for Zonaris Hub.

You accept them by buying, installing or using any Zonaris Audio plugin. Zonaris Hub shows them in full before the first installation, in the language of its interface, and asks you to accept them expressly.

If you are under the age of majority in your country, a parent or legal guardian must accept them for you. If you buy on behalf of a company, you accept them on its behalf and confirm that you are authorised to do so.

2. Worldwide sales

Zonaris Audio sells its plugins to customers all over the world. You can buy from any country where Paddle, our payment processor, operates, and the licence is valid in every country: it is not tied to the region where you bought it and it does not stop working when you travel.

The only exceptions are countries, regions or persons subject to sanctions or export restrictions that prevent us from selling to them, and places where Paddle does not accept payments. In those cases we cannot accept the order.

There are no regional editions: the plugin, its features and these terms are the same for everyone.

3. Prices, taxes and payment

Payments are processed by Paddle, acting as merchant of record: Paddle charges you, issues your invoice, and collects and remits any tax due in your country (VAT, GST or sales tax). When you pay you also accept Paddle's buyer terms, which govern the payment.

Prices are set in US dollars and may be adjusted by country or region. Depending on where you are, Paddle may show them in your local currency, with taxes included or added. The final price, taxes included, is always shown before you pay. Exchange or bank fees are outside our control.

Prices and offers may change; you pay the price shown when you complete the purchase. A later price drop or promotion does not entitle you to the difference.

4. What you buy: a licence

You buy a licence to use, not the software itself. The plugin, its code, its interface, its factory presets and its documentation remain the property of Zonaris Audio.

The licence is personal: it belongs to the person or company that holds the account it is in. A company that buys one assigns it to one person; if several people need to use the plugin at the same time, each of them needs a licence.

A full licence is perpetual for the major version you bought: it does not expire, it is not a subscription and it cannot be taken away, except in the cases in section 17.

One licence covers every format the plugin is released in (today VST3, Audio Unit and CLAP) and both systems, macOS and Windows.

5. Licence types

Zonaris Audio may issue the following licence types. Not all of them are available at all times: the product page or the specific offer says which ones are, and on what conditions.

  • Full. The one you buy. Every feature, unlimited commercial use, perpetual for its major version and, once the service exists, transferable (section 7).
  • Trial. Free, 14 days, with every feature and activatable on two machines. One per person and product: chaining trials with several accounts is not allowed. It is for evaluating the plugin; when it ends, the plugin passes audio through unprocessed until you buy a licence, and your sessions and settings are kept.
  • Free or promotional. One given at no cost: at a launch, in a giveaway, as a gift or in a collaboration. Unless the offer says otherwise, it has the same features and allows the same use as a full licence, but it cannot be transferred or resold.
  • Educational (students and teachers). Offered at a reduced price to students and teachers of a recognised educational institution, who must prove their status (institutional email, valid student card or enrolment certificate) when asked, before or after the purchase. It has the same features as a full licence and may be used for classes, coursework and personal projects, commercial ones included. It is personal: it cannot be transferred or resold, or used to buy on someone else's behalf. If the proof turns out to be false, the licence may be deactivated without a refund. Schools and academies that need licences for a classroom can write to us to arrange it.
  • NFR (Not For Resale). A free licence that Zonaris Audio gives, at its discretion, to press, reviewers, content creators, artists, engineers, teachers, distributors and partners, to demonstrate, review, teach or promote the plugin. It has the same features as a full licence and may be used in the holder's own work, unless the agreement with the holder says otherwise. It is personal: it cannot be sold, transferred, lent or given away. It may be time-limited if this was stated when it was given, and it may be withdrawn if it is used against these terms.

6. Activation and machines

Each licence activates on two machines at once, meant to be your own and used by you — the studio machine and the laptop, for instance. You can combine Mac and Windows.

You can release an activation yourself from your account, without writing to us and without waiting. If a computer dies before you released it, write to us and we will sort it out.

There is no dongle. The plugin itself never connects to the internet: activation is handled by Zonaris Hub, which renews it every time you open it while online. Each renewal is valid for seven days; if more than seven days pass without opening Zonaris Hub while online, the plugin passes audio through unprocessed until you open it again.

Activation requires a Zonaris Audio account. You are responsible for your password and for what is done with your account; if you think someone has accessed it, write to us.

7. Transfers and resale

Licences cannot be transferred or resold today. Zonaris Audio plans to open an official transfer service in the future, from your account, that will let you pass a licence on to someone else, including by selling it. Until it is announced on zonarisaudio.com, this section describes how it will work and gives no right to transfer.

Once it is available:

  • Only full licences that were bought and paid for can be transferred. Trial, free or promotional, educational and NFR licences cannot.
  • Each transfer carries an extra cost, a transfer fee paid when the transfer is requested. The amount will be published on the website before the service opens, and it will be charged through Paddle like any purchase.
  • Transfers are made only from your account to another Zonaris Audio account. The licence is deactivated on all your machines and leaves your account: you lose the right to use it, earlier versions included.
  • The recipient gets the same licence, with the same major version and the same rights, and is bound by these terms.
  • The price of a resale is freely agreed between seller and buyer. Zonaris Audio takes no part in that agreement, does not guarantee it, is not liable for it and does not refund what is paid between private parties: it only charges the transfer fee.
  • Licences with a refund or chargeback in progress, and suspended licences, cannot be transferred. Zonaris Audio may set reasonable conditions, published with the service, such as a minimum time since purchase or a maximum number of transfers per licence.
  • A resale or handover made outside this process — selling the account, sharing the password or handing over activation data — does not transfer the licence: the buyer acquires no rights and the original licence may be suspended.

8. What you may do

Use the plugin in commercial work without limit and without royalties: records, mixes and masters for clients, advertising, film, television, games, streaming, live. What you produce with it is yours and you owe us nothing for it.

Install it on as many of your own machines as you like: the limit is two activated at once, not installations.

Show it in videos, tutorials, courses, reviews and social media, monetised ones included, with screenshots and audio processed with it.

9. Presets

Factory presets. The presets that come with the plugin are part of it. Use and modify them freely in your work, but you may not distribute, sell or publish them as presets, alone or in packs, nor with minimal changes or under another name.

Your presets. The settings you create and save are yours. You may share them for free or sell them, one by one or in packs, as long as they are unique:

  • you created them yourself, or you have permission from whoever did;
  • they are not copies of factory presets or of other people's presets, nor versions with minimal changes: renaming a preset, nudging a control a few degrees or changing only the output level does not make it unique.

When you share or sell them:

  • distribute only the preset files — never the plugin, the installer, a licence, activation data, or parts of the software, its interface or its manual;
  • make it clear that each user needs their own licence for the Zonaris Audio plugin to use them;
  • you may say which plugin they are for (“presets for Volvo by Zonaris Audio”), but you may not use the Zonaris Audio logo or suggest that they are official or endorsed by Zonaris Audio without written permission;
  • the sale is yours: you are responsible for supporting your buyers, for their refunds and for your taxes.

We try to keep presets working across updates within a major version, but we cannot guarantee it for third-party presets. Presets made with a trial, educational or NFR licence may be shared and sold on the same conditions.

10. What you may not do

  • share, rent, lend or hand over your licence, or your account details, to someone else;
  • resell or transfer a licence outside the official process in section 7;
  • distribute the installer, the plugin or its files, or post them on download sites;
  • circumvent, disable or falsify activation or the trial, or help others do so;
  • decompile or reverse engineer the plugin, except to the extent applicable law expressly permits it despite this clause;
  • capture, profile or model the plugin's processing (for example, by training a machine-learning model on it) to create or distribute a product that imitates it;
  • use the plugin in a way that breaks the law or infringes the rights of others.

11. Updates, formats and requirements

Fixes and improvements within the same major version are free while the product is maintained, and are installed from Zonaris Hub. A future major version may carry an upgrade price; if it does, it will be announced beforehand, never applied retroactively, and your version will keep working.

Supported operating systems, hosts (DAWs) and formats are listed on each product page. Use the free trial to check that the plugin runs on your machine before buying. New versions may drop support for older systems; the version you already have does not stop working because of that.

12. Data and privacy

The plugin never connects to the internet or sends any data. Zonaris Hub sends only what is needed for your account, your activations and your downloads. How we handle your data is explained in the privacy policy.

13. Intellectual property and trademarks

The Zonaris Audio name and logo, the interfaces of its plugins, their factory presets, and its texts and images belong to Zonaris Audio. These terms give you no rights over them beyond the use they describe.

Where a page or a manual mentions equipment or brands of other manufacturers, it is only for reference and implies no affiliation with them or endorsement by them. VST is a registered trademark of Steinberg Media Technologies GmbH; Audio Units is a trademark of Apple Inc.; AAX is a trademark of Avid Technology, Inc. Third-party components included in the plugins are used under their own licences.

14. Refunds and consumer rights

Refunds are governed by the refund policy. If you live in the European Union or the United Kingdom you have fourteen days to withdraw from a distance purchase, but for digital content that right is lost once the download begins with your express consent, which you give when completing the purchase.

A refund or a chargeback deactivates the corresponding licence.

Nothing in these terms limits the consumer rights granted to you by the law of your country that cannot be excluded by contract.

15. Warranty

The plugin is provided “as is”. We take considerable care that it works — it is built and run against an automated test suite on every change — but we cannot guarantee it is free of defects or compatible with every combination of operating system and host.

This does not affect any legal guarantee you are entitled to as a consumer.

16. Liability

To the extent permitted by law, Zonaris Audio's liability is limited to the amount you paid for the licence. We are not liable for lost work, damaged sessions or loss of profit. Keep backups of your work: that is good practice with any software, not only this one.

Nothing in these terms excludes liability that the law does not allow to be excluded, such as for wilful misconduct or gross negligence.

17. Suspension and end of the licence

You may stop using the plugin whenever you like; uninstalling it does not take your licence away.

If you seriously breach these terms — sharing or reselling the licence outside the official process, circumventing activation, obtaining an educational licence with false details, abusing trials or making a fraudulent chargeback — we may suspend or deactivate your licence. Except in cases of fraud or urgency, we will notify you first and give you the chance to explain or put it right.

When a licence ends, you must stop using the plugin and uninstall it. Sections 13, 15, 16 and 19 remain in force.

18. Changes to these terms

We may update these terms, for instance when the transfer service or a new licence type opens. The date at the top shows the version in force. New terms apply to purchases and installations from their publication, and Zonaris Hub will ask you to accept them again before installing. A change will never retroactively take away what you already bought: a perpetual licence stays perpetual.

19. Governing law

These terms are governed by the law of Colombia. If you are a consumer, you keep the protection of the mandatory rules of your country of residence and may go to its courts. Before any claim, write to us: almost everything gets solved that way.

20. Languages

These terms are published in Spanish and in English, and both versions carry the same weight. Zonaris Hub shows you the one in the language of its interface. Should they ever differ, the version in the language in which you accepted them prevails.

21. Other provisions

If any clause is found invalid, the rest remain in force. Not enforcing a clause at a given moment does not mean we waive it. These terms, together with the refund and privacy policies and, where applicable, the written agreement for an NFR or institutional licence, are the whole agreement between you and Zonaris Audio about the plugins.
